Acceptance of Terms

By accessing or using Draftli ("the Service"), operated by Draftli ("we", "us", or "our"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Service.

Operator

Draftli is operated from Bulgaria (European Union). References in these Terms to "Draftli", "we", "us", and "our" mean the operator. Full legal entity details will be published here once available. These Terms are governed by Bulgarian law, without prejudice to mandatory consumer-protection rights you may have under the law of your country of residence.

Description of Service

Draftli is an approval-to-payment platform that allows creators — including individual designers, agencies, and small studios — to upload deliverables, share review links with clients, collect annotated feedback, obtain client approval, and receive payment — all through a single workflow.

Draftli operates as a platform provider. Creators use Draftli to manage their client relationships. When a client accesses a review page, they are engaging with a service operated by Draftli on behalf of the creator who shared the link. Draftli is not a party to the transaction between the creator and their client.

Draftli supports two project modes: (a) payment-enabled projects, where client approval automatically triggers payment via Stripe Connect to the Creator's connected account; and (b) proofing-only projects, where Draftli is used solely for delivery upload, watermarked preview, client review, and approval, with no payment processed through the Service. Any payment arrangement related to proofing-only projects is made directly between Creator and Client, outside of Draftli. The remainder of these Terms applies to both modes; sections specific to payment processing apply only to payment-enabled projects.

Account Registration

To use certain features of the Service, you must create an account. You agree to:

  • Provide accurate and complete registration information.
  • Maintain the security of your account credentials and not share them with third parties.
  • Notify us immediately of any unauthorized use of your account.
  • Accept responsibility for all activities that occur under your account.

User Content & Intellectual Property

You retain all ownership rights to the content you upload to Draftli. By uploading content, you grant us a limited, non-exclusive license to host, display, and process your content solely for the purpose of providing the Service. This includes generating watermarked preview versions of your files.

You represent and warrant that you have all necessary rights to the content you upload and that your content does not infringe the intellectual property rights of any third party.

Client Review & Approval

Review pages shared with clients are accessible without authentication. By sharing a review link, you acknowledge that anyone with access to the link can view watermarked previews of your uploaded content, leave annotations and comments, and approve deliverables and initiate payment.

Payments & Stripe

This section applies only to payment-enabled projects. Proofing-only projects do not involve Stripe Connect or any payment processed through the Service.

Payments on Draftli are processed through Stripe. When a client makes a payment through a review page, the payment is made directly to the creator's business. The creator is the merchant of record for the transaction — their business name will appear on the client's credit card or bank statement. Draftli facilitates the payment process but does not receive or hold client funds.

Creators choose the currency for each project (currently EUR, USD, or GBP) at the moment of creation. The currency cannot be changed once the client has opened the review page. See Platform fees below for the applicable rates, currency handling, and country-based waiver.

By using the payment features, you agree to Stripe's Connected Account Agreement and Terms of Service.

We are not responsible for any errors, delays, or issues arising from Stripe's payment processing. Disputes regarding payments should be resolved directly with the creator or through Stripe's dispute resolution process.

Platform fees

Draftli charges a platform fee on payments processed through our service. Current rates are 2% on the Free plan and 0% on Pro and Ultra plans. The fee is computed in the project's currency and settled to Draftli in Euros via Stripe Connect's automatic foreign-exchange conversion at the time of payout. Stripe's foreign-exchange margin applies to non-EUR projects.

Waiver for certain jurisdictions. Stripe does not permit platforms outside Brazil to collect application fees on connected accounts registered in Brazil (Stripe documentation). In practice this restriction also applies to a small set of other jurisdictions per Stripe's internal policy. As of 18 May 2026, the platform fee is fully waived — regardless of your subscription plan — if your Stripe connected account is registered in any of the following countries: Brazil, India, Mexico, Malaysia, Singapore, Thailand. Creators in these jurisdictions pay 0% platform fee. This list is maintained in our configuration and may be updated as Stripe's policies change; we will update these terms when it does.

We may change subscription pricing and the platform fee on any plan with at least 30 days' notice, sent by email to the address on file or displayed in the Service. Price changes do not apply retroactively to projects that have already been created at the time the change takes effect, and you may cancel before the new price becomes effective without penalty.

Multi-stage payments and deposits

Draftli supports projects with an optional deposit charged before files are released. Both the deposit and the balance are charged directly to the creator's connected Stripe account — Draftli is not the payment processor or merchant of record for either amount. The creator remains the merchant of record for both charges, and is solely responsible for refunds, disputes, and customer service for both. Deposits are non-refundable retainers for work to be performed; refundability after the creator begins work is determined by the creator's own refund policy. Draftli does not arbitrate between creators and clients on deposit refunds.

Disputes & Chargebacks

Because client payments are made directly from the client to the creator through Stripe Connect, the creator is the merchant of record for every client transaction. As a result:

  • The creator is solely responsible for responding to client disputes and chargebacks.
  • All chargeback fees, refunds, and any reserves imposed by Stripe are charged to the creator's connected Stripe account. Draftli does not advance, indemnify, or refund these amounts.
  • Stripe is the arbiter of all client payment disputes. Their decision is final.
  • Draftli provides a dispute dashboard with supporting evidence (review-page activity, annotations, approval timestamps, download logs, and payment metadata) to help the creator respond. Submitting and substantiating that response is the creator's responsibility.
  • Excessive chargeback rates or repeated disputes may result in suspension or termination of your Draftli account, in addition to any actions Stripe may take against your connected account.

Chargebacks raised against a deposit charge follow the identical flow as chargebacks raised against the final payment — the creator responds via Stripe; the dispute dashboard surfaces evidence.

Refunds

Client payments to creators. Draftli does not initiate, process, or hold client payments. Refunds for client transactions are issued by the creator through Stripe. If you are a client, please request refunds directly from the creator who shared the review link with you. Refunds for deposit payments are issued the same way: by the creator, from their Stripe Dashboard.

Draftli subscriptions (Pro and Ultra). Subscription fees paid to Draftli are non-refundable. You may cancel at any time, and your plan will remain active until the end of the current billing period — but we do not pro-rate refunds for partial periods or unused features.

Refunds for client transactions are issued in the original charge currency. Cross-currency refunds are not supported by Stripe.

Subscription & Billing

Draftli offers a Free plan and paid Pro and Ultra plans. Paid plans are billed monthly or annually through Stripe Billing.

  • Currency. All Draftli subscription plans are billed exclusively in Euros (EUR), regardless of where you are located. Pricing displayed in your local currency on the pricing page is an indicative conversion only — the amount actually charged is the EUR amount shown.
  • Auto-renewal. Paid subscriptions automatically renew at the end of each billing period at the then-current rate, using the payment method on file.
  • Cancellation. You may cancel at any time via the Stripe Billing Portal, accessible from your account settings. Your subscription remains active for the rest of the current billing period after cancellation.
  • Failed payments.If we cannot collect a renewal payment, your subscription enters Stripe's automatic retry window. If payment still cannot be collected, the subscription is cancelled and your account reverts to the Free plan — including its storage and feature limits. Files exceeding Free-plan limits remain stored but may not be downloadable until usage is reduced or a paid plan is reactivated.
  • Plan changes. Upgrades take effect immediately and are pro-rated. Downgrades take effect at the end of the current billing period.
  • Price changes.We may change subscription pricing and the platform fee on any plan with at least 30 days' notice, sent by email to the address on file or displayed in the Service. Price changes do not apply retroactively to projects that have already been created at the time the change takes effect, and you may cancel before the new price becomes effective without penalty.

Prohibited Conduct

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable laws.
  • Upload content that is illegal, harmful, threatening, abusive, defamatory, or otherwise objectionable.
  • Attempt to gain unauthorized access to the Service, other accounts, or our systems.
  • Interfere with or disrupt the Service or servers connected to the Service.
  • Use the Service to distribute malware, spam, or other harmful content.

Termination

We may suspend or terminate your account at our sole discretion if you violate these Terms. You may delete your account at any time through your account settings. Upon termination, your right to use the Service ceases immediately, and we may delete your data in accordance with our Privacy Policy.

Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

Limitation of Liability

To the maximum extent permitted by law, Draftli shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or use, arising out of or related to your use of the Service.

Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will update the "Last updated" date at the top of this page and, where appropriate, notify you by email or through the Service. Your continued use of Draftli after changes become effective constitutes acceptance of the updated Terms.
